Terms and Conditions

Welcome to Keelyst.

These Terms and Conditions ("Terms") govern your access to and use of the Keelyst mobile application ("App") and the related services provided through it ("Services").

Keelyst is operated by Ankit Pandoh, an individual developer based in India. Throughout these Terms, "Keelyst", "we", "our", or "us" refers to the operator of the Keelyst platform.

By accessing or using the App or Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Scope

These Terms apply to all authorized users who access or use Keelyst.

Keelyst is a business-to-business (B2B) software platform designed to help appointment-based businesses manage appointments, staff, customers, services, and related business operations.

These Terms govern only your use of Keelyst and do not govern any relationship between a Business and its own clients.

Keelyst is intended solely for legitimate business use.

To use the Services:

• you must be authorized by the Business using Keelyst;
• your account must have been created by Keelyst or by an authorized administrator where such functionality is available; and
• you must comply with these Terms and all applicable laws.

Keelyst is not intended for personal, household, or consumer use.

Business Clients do not create accounts or access the App.

4. Accounts and Access

At the present time:

• Businesses cannot self-register through the App.
• User accounts are created during the onboarding process.
• Access is granted only to authorized Business Users.

Each Business User is responsible for:

• maintaining the confidentiality of their login credentials;
• using the Services only for authorized business purposes;
• ensuring that information provided to Keelyst remains accurate; and
• promptly notifying the Business or Keelyst if unauthorized access is suspected.

You are responsible for all activities carried out using your account unless such activities result from a security issue attributable to Keelyst.

5. Description of Services

Keelyst provides software that enables Businesses to:

• manage appointments;
• manage staff;
• manage customers;
• manage services;
• record payment information for business bookkeeping;
• manage business schedules; and
• perform related appointment management activities.

Keelyst may add, remove, or modify features from time to time to improve the Services.

6. Business Responsibilities

Each Business is solely responsible for:

• information entered into the Services;
• maintaining the accuracy of its records;
• obtaining any permissions or consents required to collect personal information;
• complying with applicable laws;
• determining which users may access its account; and
• managing its relationship with its own clients.

Keelyst does not verify the accuracy of information entered by Businesses.

7. Business Client Information

Businesses may enter information relating to their own clients for appointment scheduling and operational purposes.

Businesses remain responsible for ensuring they have the legal authority to collect, use, and store such information.

Keelyst processes Business Client information solely for the purpose of providing the Services described in these Terms and the Privacy Policy.

8. Confidentiality

Keelyst will use reasonable efforts to maintain the confidentiality of Business information and will access such information only where reasonably necessary to provide technical support, maintain the Services, comply with legal obligations, or as otherwise described in the Privacy Policy.

9. Payments

Keelyst allows Businesses to record payment information for bookkeeping purposes.

Keelyst does not:

• process payments;
• provide payment gateway services;
• collect debit or credit card information; or
• act as a financial institution.

Any payment information recorded within the App is entered by the Business solely for its own operational records.

10. Subscription, Billing and Cancellation

Access to the Services may require an active subscription unless Keelyst has expressly provided a free trial or other promotional access.

Free Trial

Keelyst may, at its sole discretion, offer a free trial for a period determined by Keelyst. The duration, scope, and eligibility of any free trial may vary between Businesses and may be withdrawn or modified at any time.

Keelyst may terminate a free trial at any time. Unless otherwise agreed, continued access to the Services after a free trial requires an active paid subscription.

Subscription Fees

Subscription fees, billing cycles, applicable taxes (if any), and payment terms will be communicated to the Business before the subscription begins.

At present, subscription fees are invoiced and collected directly by Keelyst outside the App. The App does not process subscription payments or provide payment gateway services.

Unless otherwise agreed in writing, subscription fees are payable in advance before the start of each billing period.

Grace Period

Keelyst may, at its sole discretion, allow a temporary grace period after a subscription expires. During the grace period, Businesses may continue to access the Services while payment is pending.

Granting a grace period does not create an obligation for Keelyst to continue providing the Services without payment, and the duration of any grace period may be changed or withdrawn at any time. Keelyst may suspend access to the Services if subscription fees remain unpaid after any applicable grace period.

Renewal

Subscriptions renew according to the billing cycle agreed between Keelyst and the Business unless cancelled in accordance with these Terms.

Cancellation

A Business may cancel its subscription at any time by notifying Keelyst.

To avoid being charged for the next billing period, the Business must notify Keelyst before the start of the next billing cycle.

Cancellation takes effect at the end of the current paid subscription period unless otherwise agreed. Keelyst may also suspend or terminate a subscription in accordance with these Terms.

Refunds

Subscription fees are non-refundable except where required by applicable law. No refunds or partial refunds will be provided for unused subscription periods, early cancellation, suspension resulting from a breach of these Terms or non-payment, or failure to use the Services.

Changes to Subscription Fees

Keelyst may revise its subscription pricing from time to time. Where reasonably practicable, Businesses will be informed of any pricing changes before they take effect.

11. Acceptable Use

You agree not to:

• use the Services for any unlawful purpose;
• upload malicious software or harmful code;
• attempt to gain unauthorized access to the Services;
• interfere with the operation or security of the platform;
• copy, reverse engineer, or attempt to derive the source code of the Services except where permitted by law;
• use the Services to violate the privacy or rights of others;
• misuse the platform in any manner that could impair its availability or security; or
• use the Services to store or distribute unlawful, defamatory, infringing, or fraudulent content.

12. Intellectual Property

Keelyst, including its software, design, branding, graphics, logos, text, and other content, is owned by or licensed to Keelyst and is protected by applicable intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, and revocable licence to use the Services solely for your internal business purposes. No ownership rights are transferred to you.

13. Ownership of Business Data

Businesses retain ownership of the information they enter into Keelyst.

By using the Services, the Business grants Keelyst a limited right to host, store, process, transmit, back up, and display such information solely as necessary to provide, secure, maintain, and improve the Services.

Keelyst does not sell Business data or Business Client information to third parties. Keelyst does not use Business data or Business Client information to train artificial intelligence models or for advertising purposes.

14. Availability of the Services

We strive to keep the Services available and reliable. However, we do not guarantee uninterrupted or error-free operation.

The Services may occasionally be unavailable due to:

• maintenance;
• software updates;
• security improvements;
• infrastructure failures;
• internet outages; or
• events beyond our reasonable control.

Businesses are responsible for maintaining their own records where required by law or their internal business policies.

15. Force Majeure

Keelyst shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including natural disasters, acts of government, internet outages, cyberattacks, labor disputes, or failures of third-party service providers.

16. Updates

We may update, improve, modify, suspend, or discontinue portions of the Services at any time. Where practical, we will provide reasonable notice of material changes. Continued use of the Services following such updates constitutes acceptance of those changes.

17. Suspension and Termination

We may suspend or terminate access where:

• these Terms are violated;
• fraudulent, unlawful, or abusive activity is suspected;
• continued access may compromise the security of the Services;
• required by law; or
• subscription or commercial arrangements have ended.

Businesses may also request account closure by contacting Keelyst. Termination does not relieve either party of obligations that accrued before termination.

18. Privacy

Our collection, use, and protection of personal information are governed by our Privacy Policy. By using the Services, you acknowledge that you have read the Privacy Policy.

19. Disclaimer

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Keelyst disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

Keelyst is a software platform only. Keelyst does not provide medical, healthcare, legal, accounting, financial, or professional advice. Businesses remain solely responsible for decisions made using the Services.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Keelyst shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data arising from the use of or inability to use the Services. Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.

21. Indemnification

The Business agrees to indemnify and hold harmless Keelyst and its operator from claims, liabilities, damages, costs, and expenses arising out of:

• the Business's use of the Services;
• violation of these Terms;
• infringement of the rights of another person; or
• unlawful or inaccurate information entered into the Services by the Business or its authorized users.

22. Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India, unless otherwise required by applicable law.

23. Changes to These Terms

We may update these Terms from time to time. The revised version will be published within the App or on the Keelyst website with an updated "Last Updated" date. Continued use of the Services after the revised Terms become effective constitutes acceptance of the updated Terms.
